Registration, retrieval, and delivery of your CRA Business Number, corporate tax account, and Ontario Company Key require specialized processing and are available through our higher-tier packages or add-on assistance services.
Is this a one-time payment?
Incorporation and one-time add-ons are charged once. Address service, annual support, annual filing service, and domain or website products are term-based and may require renewal. Ongoing government and tax filing obligations continue unless your order expressly includes them.
Are there any hidden or extra fees?
No hidden fees. The price shown includes the $300 Ontario government fee and everything in your selected package. Each optional add-on shows its price before you choose it, and your total updates as you go.
What's needed to complete this order?
You will need a proposed business name, or you can choose a numbered corporation, plus a registered office address in Ontario, the name and address of at least one director, a basic share and ownership setup, and a contact email. A named corporation also needs an Ontario NUANS name search report, which we can obtain for you.
Is this an official government incorporation?
Yes. We submit your incorporation through the Ontario Business Registry, and you receive the official Articles of Incorporation and Certificate of Incorporation issued for your corporation. We prepare and file your application; we do not provide legal or tax advice.

Ontario incorporation automatically creates a 9-digit CRA Business Number. This optional service covers our staff retrieving and delivering the Business Number information after incorporation; the fee is for our assistance, not for CRA creating the number. Retrieval and delivery are not included in the base incorporation service unless expressly listed.
What does Corporate Tax ID retrieval assistance include?
Our team handles the administrative processing needed to secure your CRA Corporate Income Tax Account from registry records, verify your profile, and ensure your business is tax-ready immediately.
What does Ontario company key retrieval assistance include?
Your 9-digit Company Key acts as your corporate password. We take care of retrieving this key from the corporate registry, connecting it to your profile, and making sure it's ready whenever you need to update your business records.
What does Initial Return Filing and Official Email Update include?
The Initial Return is mandatory and must be filed within 60 days after incorporation. We use our monitored filing email as the corporation's initial official email during incorporation.     Should I choose a numbered or named corporation?
    A named corporation uses the legal name you choose and requires a valid Ontario NUANS report. A numbered corporation receives a legal name such as “1234567890 Ontario Inc.” and does not need a NUANS report. A numbered corporation can register a separate trade name if it will use a public-facing name.
    What NUANS report is valid for this filing?
    Use an Ontario NUANS report for the exact proposed legal name, dated no more than 90 days before the Articles are submitted. A separate report may be required for each English or French form of the name. The report shows similar names; it does not guarantee acceptance or create trademark rights.
    Which language option should I choose?
    Choose English only or French only for one legal name in that language. “Combination English and French” creates one bilingual name. “English and French names that are equivalent but used separately” creates two legal forms, normally shown with a slash, and either form may identify the corporation.
    Is there any guidelines for name?

    A corporation’s name generally needs two components:

    • Distinctive: A unique or invented word that sets your name apart (e.g., “Mike”).
    • Descriptive: A common word describing your business activity (e.g., “Construction”).

    Example: In "Mike Construction," “Mike” is distinctive and “Construction” is descriptive. Enter your preferred name, and we’ll help if adjustments are needed for approval.

    When do I need a trade name?
    Register a trade name only if the corporation will carry on business or identify itself to the public under a name other than its legal corporate name. The registration lasts five years and does not change the corporation’s legal name or create trademark rights. Ontario requires both the registered trade name and the corporation’s legal name on contracts, invoices, negotiable instruments, and orders for goods or services.
    ⚠️ Important: Physical Registered Office Address Requirement

    A corporation is required to have a physical registered office address in Ontario. P.O. box or virtual mail box address is not acceptable. If you do not have a physical address, we offer address and mail scanning service.

    What address can I use, and will it be public?
    The registered office must be a full address in Ontario; a post office box alone is not acceptable. Use an address where official and legal mail will be received reliably. The registered office is on the public record, so a home address used here can be publicly visible.
    Can I change the registered office later?
    Yes. The corporation must file a Notice of Change within 15 days after the address changes. Any service fee for us to prepare or file the change must be shown separately from a government fee.
    What is the difference between the address-service options?
    Address Service provides an Ontario registered-office address for the stated term. Address Service with Mail Scanning also scans mail received under the service terms and emails it to you. Neither option provides operating premises or, by itself, an eligible storefront for Google Business Profile.

    What is the difference between electronic and printed documents?
    Electronic delivery provides PDF copies of the official incorporation documents by email. The printed option adds paper copies sent by mail; it does not change their legal effect. Seals, binders, and share-certificate forms are separate physical products.
    Can I choose a future date, and does queue speed guarantee it?
    You may request a date up to 30 calendar days in the future, but not a past date. The effective date cannot be earlier than the day Ontario receives an application acceptable for filing, and any NUANS report must remain valid. Registry Queue is our handling priority, not a guarantee of government acceptance or completion time.

    Who can be a director of an Ontario corporation?
    The corporation needs at least one director. A director must be an individual who is at least 18, is not bankrupt, and has not been found incapable of managing property under the applicable law or by a court. Ontario has no Canadian-residency quota for directors, although residency status is still requested as filing information.
    What is the difference between a director, shareholder, and officer?
    Directors oversee the corporation and make board decisions. Shareholders own issued shares and exercise the rights attached to those shares. Officers perform the management duties assigned by the directors; one person may hold more than one role.
    Can directors be added or removed later?

If you need special voting, dividend, transfer, investor, lender, or professional-corporation terms, have a lawyer draft or review them before filing.
    What is the difference between the share-class options?
    Basic provides the common voting class described in the option. Standard provides Class A common voting shares and Class B common non-voting shares. The exact dividend, liquidation, conversion, and other rights come from the Articles, not from the class letter alone.
    What does the by-laws and minutes add-on provide?
    Ontario does not issue by-laws or organizational resolutions as part of the incorporation filing. This add-on prepares the internal by-laws and initial minutes or resolutions described in the package. The corporation must maintain its required records whether it buys this package or prepares them another way.
    Can the Articles be changed later?
    Yes. Changes to provisions in the Articles, such as the legal name, share rights, or authorized number of directors, generally require proper corporate approval and Articles of Amendment with the applicable fee. Internal changes do not all require an amendment, so confirm the correct filing before ordering one.
    What does the initial share price mean?
    This is the consideration the first shareholder provides to the corporation for each share at issuance; it is not the corporation’s market value or net worth. A share cannot be issued until its consideration is fully paid in money, property, or qualifying past service with the required value. Record the issuance and payment in the corporation’s records.
    Can the share price or structure change later?
    The corporation can issue additional shares later with the required approvals and record updates. Already issued shares do not simply receive a new issue price. Changing authorized classes or their rights may require Articles of Amendment and can have legal or tax consequences.

    What does being a shareholder mean?
    A shareholder owns shares issued by the corporation. Ownership percentage, voting power, and economic rights depend on the number of shares held and the rights attached to each class. Being a shareholder is separate from being a director or officer.
    How should I enter the number of shares?
    This form uses whole shares. Choose a total that expresses the intended allocation clearly, such as 50 and 50 for an equal split or 60 and 40 for a 60/40 split. If shareholders will have different classes or rights, percentages alone are not enough; confirm the structure before filing.
    Can shareholder or share details change later?
    A later transfer or issuance requires the appropriate approvals, documents, and securities-register update; do not treat it as a simple profile edit. If the change affects the corporation’s register of individuals with significant control, update that register within 15 days after the corporation becomes aware of the information. Changes to class rights may also require Articles of Amendment.

    When do I need a GST/HST account?
    Most businesses must register when they make taxable supplies in Canada and no longer qualify as a small supplier, generally after exceeding the applicable $30,000 threshold. A small supplier may register voluntarily, and special rules apply to some activities. Charge GST/HST only from the account's effective date.
    When do I need a payroll account?
    Register when the corporation becomes an employer or another type of payer that must withhold and remit payroll amounts. The payroll account must be opened before the first remittance due date. This service sets up the CRA account only; it does not run payroll, calculate deductions, or make remittances.
    What does Import Account Setup cover?
    CBSA uses one RM import-export program account for businesses that import or export commercial goods. Select Import Account Setup for assistance with the import side of the RM and CARM setup. Import and Export Account Setup are separately selected and charged services, even though both relate to the same RM program account; customs declarations, duties, security, and ongoing CARM administration are separate obligations.
    What does Export Account Setup cover?

    Ontario shares may be certificated or uncertificated. A blank certificate is not proof of ownership until shares are validly issued, the certificate is completed, and the securities register is updated. Choose this option only if you want physical certificate forms.

    Is the Ontario Annual Return the same as the corporate tax return?
    No. The Ontario Annual Return updates the corporation's registry information and is due each year within six months after its fiscal year-end. The CRA T2 corporation income tax return is a separate filing, also generally due within six months after the tax year ends. This add-on covers only the Ontario Annual Return unless the order expressly includes tax preparation.

    Is my business eligible for a Google Business Profile?
    Google generally requires the business to make in-person contact with customers during its stated hours. A P.O. box or remote mailbox cannot be used as the Business Profile location, and online-only businesses are not eligible. This option is hidden when our address service is selected; for other orders, our staff assesses eligibility after purchase. If the business is ineligible, we issue the setup charge as store credit. Setup does not guarantee verification, ranking, or continued eligibility.
    Which shipping option should I choose?

    8.1 Address Service

    The Address Service provides a business registration address where permitted by law.

    Use of the Address Service requires execution of a separate Address Service Agreement.

    Mail Scanning Service limitations:

    • Only official government correspondence will be accepted.
    • Government mail will be scanned and forwarded digitally.
    • Personal mail, packages, bank statements, and marketing materials will be refused.

    The service operates on an annual subscription basis and requires timely renewal.

    Failure to renew may result in:

    • Collection proceedings.
    • Notification to government authorities.
    • Loss of authorization to use the address.
    • Potential legal consequences.

    8.2 Agent Service

    The Agent Service satisfies statutory requirements where a local representative is required.

    A separate Agent Service Agreement must be signed before service begins.

    The designated agent may:

    • Receive official government correspondence.
    • Act solely for statutory registration purposes.

    The designated agent may not:

    • Operate the business.
    • Enter contracts.
    • Make business decisions.
    • Act beyond statutory requirements.

    8.3 Government Information and Documentation Fees

    Certain government-issued information may be available at no government cost; however, Ontario Corporate Filing Center may charge service fees for retrieving, processing, securing, and delivering such information.

    Examples include:

    • Business Numbers.
    • Ontario Company Keys.
    • Other government-issued identifiers or credentials.

    9. Purchases and Payment

    All prices are listed in Canadian Dollars (CAD).

    Accepted payment methods include:

    • Visa.
    • Mastercard.
    • American Express.
    • Discover.
    • PayPal.
    • Interac.

    Customers must provide accurate billing and payment information.

    A binding contract is formed once payment has been successfully processed.

    We reserve the right to reject any order where fraud, discrepancies, or verification concerns are identified.

    10. Service Term and Termination

    These Terms remain effective while you use our services.

    We reserve the right to suspend or terminate services without notice where permitted by law.

    Termination may occur if:

    Ontario Corporate Filing Center reserves the right to dispute chargebacks and provide supporting documentation when responding to payment disputes.
