How fast can I get docs?
A corporation registration is a two-step process, getting approved for the name and then the registration. It normally takes 3 weeks to process. However, government has introduced Express and Urgent queue for those who has time limitation. The fastest service is in urgent queue and normally processed in 1 business day.
Strict Name rules of Quebec
The name MUST be in French. If in any other words, it must be translated into French correctly. The name must contain 3 elements. 1. Descriptive element, which describes the major activities of the business, 2. Distinctive element, which clearly distinguishes one enterprise from another. It should be unique or distinctive element, and 3. Legal suffix at the end. The legal suffix must be selected either Inc. or Ltd. or Ltee). An Example: Quincaillerie Saint-Jean Inc. Here, 'Quincaillerie ' is the generic component, 'Saint-Jean' is unique component and 'Inc.' is the legal suffix component.
How name approval works?
As an agent of Industry Canada, we have direct access to corporation name database. Prior to submission, we conduct a name pre-search first, to ensure the name is free from conflict. If pre-search result shows good, we submit for name approval. If pre-search result shows conflict, we will request you for alternative names by email, up to 3 names at free of cost.
Any rule for corporate name?
Yes, generally a name should have two elements: distinctive and descriptive. The distinctive element is the most important factor. It simply cannot describe the business activities, rather it has to be an unique element that distinguishes the name from others. An example, the name "Canada Car Wash" lacks of distinctiveness, while "Michael Johnson Car Wash" has ideal distinctiveness. For now, you may propose the ideal name that is in your mind. If it doesn't work, we will contact you.

Registered Address

In this section, you need to provide the street address in this province as the company's registered office. Virtual office or PO Box numbers are not allowed. If this Canadian corporation is owned by your another foreign company (it's called subsidiary corporation), then you should add the owning company as the first shareholder. If you don't have any corporation currently, you can add yourself as first shareholder.
What number of share I put?
If you are the only shareholder, any number is okay, 100% owned by you. Most people put 1. It's changeable later. If more than one shareholder, put proportionately.
Can I change shareholder later?
Yes. You can add or remove shareholder later at anytime.
How to put share in percentage?
Total share is calculated by adding up each shareholder's share number. Example: your share is 60, your spouse's share is 40. Then total shares = 60 + 40 = 100. In this case, you hold 60% and spouse holds 40%. If more than one shareholder and you want to assign in percentage, make total share number as 100.

What is share certificate?
Share certificates is the legal and official proof of ownership of corporation. You need it to show in any official purpose such as bank, contracts, mortgage etc. It's an absolute recommended items if you have more than one shareholder. We will send some blanks certificates as well which could be used in future in case you add any other person (such as spouse, child, friend) as shareholder.

Seal is a protection against fraudulent activity. It has legal value (by default defends) in case anybody create false docs or make false loan in your company name. It's highly recommended if your company has frequent transactions or provide receipt, invoices. It's also needed if you go for loan, mortgage, employment contract, service contract or any sub-contract.
What is domain name?
We are an agent of domain registration in Canada. After your company name gets approved, we can instantly reserve a domain in your company name (example: www.companyname.ca)

8.1 Address Service

The Address Service provides a business registration address where permitted by law.

Use of the Address Service requires execution of a separate Address Service Agreement.

Mail Scanning Service limitations:

  • Only official government correspondence will be accepted.
  • Government mail will be scanned and forwarded digitally.
  • Personal mail, packages, bank statements, and marketing materials will be refused.

The service operates on an annual subscription basis and requires timely renewal.

Failure to renew may result in:

  • Collection proceedings.
  • Notification to government authorities.
  • Loss of authorization to use the address.
  • Potential legal consequences.

8.2 Agent Service

The Agent Service satisfies statutory requirements where a local representative is required.

A separate Agent Service Agreement must be signed before service begins.

The designated agent may:

  • Receive official government correspondence.
  • Act solely for statutory registration purposes.

The designated agent may not:

  • Operate the business.
  • Enter contracts.
  • Make business decisions.
  • Act beyond statutory requirements.

8.3 Government Information and Documentation Fees

Certain government-issued information may be available at no government cost; however, Ontario Corporate Filing Center may charge service fees for retrieving, processing, securing, and delivering such information.

Examples include:

  • Business Numbers.
  • Ontario Company Keys.
  • Other government-issued identifiers or credentials.

9. Purchases and Payment

All prices are listed in Canadian Dollars (CAD).

Accepted payment methods include:

  • Visa.
  • Mastercard.
  • American Express.
  • Discover.
  • PayPal.
  • Interac.

Customers must provide accurate billing and payment information.

A binding contract is formed once payment has been successfully processed.

We reserve the right to reject any order where fraud, discrepancies, or verification concerns are identified.

10. Service Term and Termination

We reserve the right to suspend or terminate services without notice where permitted by law.

  • Future-dated filing fees.

12.3 Add-On Services

Certain add-on services may qualify for refunds if work has not started.

  • Initial Returns.

  • Domains and Email Services.
  • Google Listings.
  • Business Numbers.
  • CRA Account Registrations.
  • Share Certificates.

12.4 Company-Initiated Refunds

Refunds may be issued where Ontario Corporate Filing Center is unable to complete services due to factors within its control.

12.5 Chargebacks and Disputes

Ontario Corporate Filing Center reserves the right to dispute chargebacks and provide supporting documentation when responding to payment disputes.

13. Third-Party Websites and Content

Our website may contain links to third-party websites and content.

We do not control, endorse, or assume responsibility for third-party websites, products, services, or content.
