Why activities are so important?
To qualify as a charity, an organization must have purposes that are exclusively charitable and charitable activities that support those purposes. The purposes (also called objects) describe the aim or main intent of the organization. The activities describe how your organization will accomplish its purposes.
How to describe the activities?
When describing a charitable activity, keep the following points in mind:
  • what you want to achieve
  • how you're doing it – detailed plans
  • who the beneficiaries are and how they are selected any fees charged
  • frequency and length of the activity
  • involvement of employees and volunteers
  • how you maintain direction and control over activities and resources
  • other logistics (transportation, facilities, etc.)

What is required for the Name Approval?
The name must be submitted to Government for approval. This process involved:
  • Submitting a name request application to Government. 3 choices of names can be included per submission, if you don't 3 choices you can write the same name.
  • Government, they will check the availability of your Name and determine whether it is valid for registration
  • Once Government has processed the name submission, you will receive a Name Request Number (NR number) which is valid for 56 days.
What is a NUANS Report?
It is a computerized name search report generated based on a proposed corporate / business name or trade-mark from Government databases listing similar and conflicting names of existing business names and trademarks. To incorporate a Federal Corporation an appropriate NUANS Report is required.
Are there different type of NUANS?
Yes. There are 2 different kinds of reports:
  • A NUANS report for Federal and a NUANS report for each of the following provinces: Ontario, Alberta & New Brunswick.
  • The rest of the Canadian provinces have their own name approval processes and doesn't require a NUANS report. Examples of such jurisdictions are: B.C., Quebec, Manitoba, Saskatchewan, Newfoundland & Labrador, PEI, Yukon, they each require a name search report from their respective provincial database and registry and NOT from the NUANS database.
Why do I need a NUANS & name approval?
NUANS report is required for all named incorporations. NUANS report is a name search report which doesn't guarantee acceptance of that name by Government. We, along with the NUANS report do an analysis of the name so that it is acceptable for a corporation's name.

Yes, this address can be changed later. In many cases when commercial place is not rented yet, residential address is given.
What is a Registered office address & mail scanning service?
  • If you are setting up a business in Canada but you don’t have a street address in Canada then we have an address service which you can make use of. This is primarily a document scan and mail service.

Extra-Provincial Registration (Mandatory)

Federal Corporations are required to register in the province in which they will conduct business and where the registered office is located. If you are planning to expand your business to other jurisdictions and provinces in the future then you will have to registering in those places too at that time. Moreover, extra-provincial registration documents are usually required for opening bank accounts, getting city licences and other business and official procedures.

Do I need custom articles?
The requirement to customize articles varies so that we cannot suggest how to customize. Which title to choose for Officers?

Who needs a Corporate Tax account?
All corporations need a Corporate tax ID (RC 0001) to file taxes. Taxes needs to be filed even if the income is zero(0) dollar for the Year.
Who needs to register with WCB?
  • Registering with Workers' Compensation Boards (WCB) is required for most businesses In selected province within 10 days of hiring their first employee. Some types of businesses are exempted from mandatory registration with WCB based on the activities (Examples are banks, insurance companies, hair salons (with exceptions), private schools or daycares, travel agencies, etc.) but many employers in these industries choose to register with the WCB anyways for protection to their workers.
  • WCB registration is more important for small businesses and start-ups to provide financial security in the event of a workplace accident.
Why should I choose in package?
  1. These Services when added with the package costs less. To do this services later involves manual process and cost more money and takes longer time.
  2. Cost that occurs during business set up, is called Business Development Expenses, is tax claimable. Costs that occurs after business already registered, is called operational cost, is not tax claimable. What is membership certificate?

  • Order-related documents remain available digitally for up to 90 days after order completion.
  • Additional retrieval requests after 90 days may require a new service request and applicable fees.

8. Products and Services

We strive to provide accurate information regarding our products and services. However, we do not guarantee that all information is complete, accurate, or error-free.

Availability of services and products may change without notice.

Prices may be modified at any time.

8.1 Address Service

The Address Service provides a business registration address where permitted by law.

Use of the Address Service requires execution of a separate Address Service Agreement.

Mail Scanning Service limitations:

  • Only official government correspondence will be accepted.
  • Government mail will be scanned and forwarded digitally.
  • Personal mail, packages, bank statements, and marketing materials will be refused.

The service operates on an annual subscription basis and requires timely renewal.

Failure to renew may result in:

  • Collection proceedings.
  • Notification to government authorities.
  • Loss of authorization to use the address.
  • Potential legal consequences.

8.2 Agent Service

The Agent Service satisfies statutory requirements where a local representative is required.

A separate Agent Service Agreement must be signed before service begins.

The designated agent may:

  • Receive official government correspondence.
  • Act solely for statutory registration purposes.

The designated agent may not:

  • Operate the business.
  • Enter contracts.
  • Make business decisions.
  • Act beyond statutory requirements.

8.3 Government Information and Documentation Fees

Certain government-issued information may be available at no government cost; however, Ontario Corporate Filing Center may charge service fees for retrieving, processing, securing, and delivering such information.

Examples include:

  • Business Numbers.
  • Ontario Company Keys.
  • Other government-issued identifiers or credentials.

9. Purchases and Payment

All prices are listed in Canadian Dollars (CAD).

Accepted payment methods include:

  • Visa.
  • Mastercard.
  • American Express.
  • Discover.
  • PayPal.
  • Interac.

Customers must provide accurate billing and payment information.

A binding contract is formed once payment has been successfully processed.

We reserve the right to reject any order where fraud, discrepancies, or verification concerns are identified.

10. Service Term and Termination

These Terms remain effective while you use our services.

We reserve the right to suspend or terminate services without notice where permitted by law.

Termination may occur if:

  • You violate these Terms and Conditions.
  • Identity verification cannot be completed.
  • Suspicious activity is detected.
  • Required documentation is not provided.

11. Service Limitation and Expiration

Services may be suspended or terminated when required by law or due to material policy violations.

11.1 Abandoned Orders

If additional information is required to complete an order, customers must respond within prescribed timelines.

Orders may be deemed abandoned after prolonged non-response.

No refunds will be provided for abandoned orders.

12. Refund Policy

Refund eligibility depends on the work completed at the time of cancellation.

12.1 Non-Refundable Fees

  • Payment Processing Fees.
  • Agency or Service Fees.
  • Name Search Fees.
  • Specialist Review Fees.
  • NUANS Report Fees.
  • Name Approval Fees.
  • Document Retrieval Fees.

These fees remain non-refundable regardless of cancellation timing.

12.2 Refundable Fees Under Certain Conditions

Refunds may be available if work has not yet commenced on specific services.

  • Government filing fees.
  • Draft preparation fees.
  • Company Key retrieval fees.
  • Shipping fees.
  • Future-dated filing fees.

12.3 Add-On Services

Certain add-on services may qualify for refunds if work has not started.

  • Minute Books.
  • Initial Returns.
  • Annual Returns.
  • Company Keys.
  • Domains and Email Services.
  • Google Listings.
  • Business Numbers.
  • CRA Account Registrations.
  • Share Certificates.
  • Corporate Seals.
  • Trademark Services.

12.4 Company-Initiated Refunds

Refunds may be issued where Ontario Corporate Filing Center is unable to complete services due to factors within its control.

12.5 Chargebacks and Disputes

Ontario Corporate Filing Center reserves the right to dispute chargebacks and provide supporting documentation when responding to payment disputes.

13. Third-Party Websites and Content

Our website may contain links to third-party websites and content.

We do not control, endorse, or assume responsibility for third-party websites, products, services, or content.

Use of third-party websites is at your own risk.

14. Privacy Policy

Total liability shall not exceed the amount paid by the customer during the 12 months preceding the claim.

20.1 No Guarantee of Outcomes

21. Indemnification
