Which package should I choose?
All packages include the Ontario professional corporation incorporation filing, the Government Fee is included, Articles of Incorporation, Certificate of Incorporation, and electronic delivery. A professional corporation requires profession-specific provisions in the Articles, a Certificate of Authorization from your governing regulator, and share ownership restricted to eligible persons. Which professions can incorporate?
Ontario permits professional corporations for many regulated professions, including but not limited to: medicine, dentistry, law, optometry, pharmacy, public accounting, veterinary medicine, social work, psychology, chiropractic, architecture, engineering, and others authorized by their governing legislation. Check with your professional regulator to confirm eligibility and any profession-specific requirements before proceeding.
What profession and regulator should I enter?
Enter the exact name of the regulated profession you are licensed to practice and the governing regulatory body. For example, "Medicine" regulated by the "College of Physicians and Surgeons of Ontario," or "Law" regulated by the "Law Society of Ontario." This information determines the required Article provisions, naming format, and Certificate of Authorization application.
Is this a one-time payment?
Incorporation and one-time add-ons are charged once. Address service, annual support, annual filing service, and domain or website products are term-based and may require renewal. Your governing regulator may also require annual renewal of the Certificate of Authorization, which is a separate obligation. Ongoing government and tax filing obligations continue unless your order expressly includes them.
Are there any hidden or extra fees?
No hidden fees. The price shown includes everything in your selected package. Each optional add-on shows its price before you choose it, and your total updates as you go.
What information is needed?
You will need: the regulated profession and governing regulator, your professional licence or registration number, a proposed professional corporation name that includes the profession and the words "Professional Corporation," a registered office address in Ontario, the name and address of at least one director who is the practising professional, share and ownership details restricted to eligible persons, and a contact email. A valid Ontario NUANS name search report is also required.
Do I need everything ready before I start?
No. Fill in as much as you can now to speed up your order. If anything is missing, we contact you for it, or you can email it to us before we file. You do not need every detail finalized to begin, but your professional licence or registration details and governing regulator should be available as they affect the name and Article provisions.
What are the steps after I place my order?
First, we review your information and contact you if anything is missing or unclear. Next, we prepare and submit your professional corporation incorporation to Ontario. After Ontario accepts the filing, we email your official Articles and Certificate of Incorporation. You must then apply to your governing regulator for a Certificate of Authorization before the corporation can practice the profession. Printed documents and physical supplies ship only if selected. You can reach us by phone during business hours at any stage.
How long to receive my documents?
After we have your complete information and payment, we prepare and submit your Ontario filing. With our fastest Registry Queue option, your incorporation can be ready as fast as one hour during business hours; other speeds are shown on a later step. Once Ontario accepts the filing, we email your official Articles and Certificate. Obtaining the Certificate of Authorization from your governing regulator is a separate process with its own timeline. Government processing times are set by Ontario and are not guaranteed.
Is this an official government incorporation?
Yes. We submit your professional corporation incorporation through the Ontario Business Registry, and you receive the official Articles of Incorporation and Certificate of Incorporation issued for your professional corporation. What is CRA Business Number?
A registered company must obtain a Business Number to access its account with the Canada Revenue Agency. The Business Number, or BN number, is a nine-digit code that uniquely identifies your business with the CRA.

What does Initial Return & Email Update include?
The Initial Return is mandatory and must be filed within 60 days after incorporation. We use our monitored filing email as the corporation's initial official email during incorporation.     What NUANS report is valid for this filing?
    Use an Ontario NUANS report for the exact proposed legal name, dated no more than 90 days before the Articles are submitted. A separate report may be required for each English or French form of the name. The report shows similar names; it does not guarantee acceptance or create trademark rights. A NUANS report is always required for a professional corporation because numbered names are not permitted.
    Which language option should I choose?
    Choose English only or French only for one legal name in that language. "Combination English and French" creates one bilingual name. "English and French names that are equivalent but used separately" creates two legal forms, normally shown with a slash, and either form may identify the corporation. The name must still include the profession and "Professional Corporation" in the chosen language.

    What address can I use, and will it be public?
    The registered office must be a full address in Ontario; a post office box alone is not acceptable. Use an address where official and legal mail will be received reliably. The registered office is on the public record, so a home address used here can be publicly visible. Your governing regulator may have additional requirements for the practice address.
    What are the requirements for a corporation’s address?

    The address must be a physical location within Ontario. P.O. Boxes and virtual addresses are not permitted. All official correspondence and legal documents related to the corporation will be sent to this address.

    How do address-service options differ?
    Address Service provides an Ontario registered-office address for the stated term. Address Service with Mail Scanning also scans mail received under the service terms and emails it to you. Neither option provides operating premises or, by itself, an eligible storefront for Google Business Profile.
    Can I change the registered office later?
    Yes. The corporation must file a Notice of Change within 15 days after the address changes. Any service fee for us to prepare or file the change must be shown separately from a government fee. Notify your governing regulator if the change affects any address on file with them.

    Electronic vs. printed documents?
    Electronic delivery provides PDF copies of the official incorporation documents by email. The printed option adds paper copies sent by mail; it does not change their legal effect. Seals, binders, and share-certificate forms are separate physical products.
    Can I choose a future date?
    You may request a date up to 30 calendar days in the future, but not a past date. The effective date cannot be earlier than the day Ontario receives an application acceptable for filing, and the NUANS report must remain valid. Registry Queue is our handling priority, not a guarantee of government acceptance or completion time. Note that the Certificate of Authorization from your regulator has its own separate timeline.

    Who can be a director of a professional corporation?
    The practicing professional must be a director. Depending on the governing regulator's requirements, all directors may need to be members of the profession, or a majority may need to be members. A director must be an individual who is at least 18, is not bankrupt, and has not been found incapable of managing property. Check with your regulator for any additional director eligibility rules specific to your profession.
    Can directors be added or removed later?
    Yes, subject to the Articles, by-laws, corporate approvals, Ontario law, and governing regulator requirements. Record the change in the corporation's records and file the required Notice of Change with Ontario within 15 days. The professional corporation must continue to meet the regulator's director eligibility requirements at all times. Notify the regulator of any director changes as required.
    What is the difference between a director, shareholder, and officer?
    Directors oversee the corporation and make board decisions. Shareholders own issued shares and exercise the rights attached to those shares. Officers perform the management duties assigned by the directors. In a professional corporation, the practicing professional is typically a director, shareholder, and officer. Each role remains legally distinct and should be documented correctly in the corporation's records.

      What must the Articles include for a professional corporation?
      The Articles of a professional corporation must include provisions that restrict the corporation's activities to practicing the regulated profession, restrict the issuance and transfer of shares to persons who are eligible under the governing legislation, and include any other provisions required by the profession's regulator. These are not optional; they are mandatory for the Certificate of Authorization application. We strongly recommend having a lawyer review the Article provisions before filing.
      What does the by-laws and minutes add-on provide?
      This add-on prepares the internal by-laws and initial minutes or resolutions described in the package. For a professional corporation, the by-laws should align with the Article restrictions and regulator requirements. The corporation must maintain its required records whether it buys this package or prepares them another way.
      Can the Articles be changed later?
      Yes. Changes to provisions in the Articles, such as the legal name, share rights, or authorized number of directors, generally require proper corporate approval and Articles of Amendment with the applicable fee. For a professional corporation, any amendment must continue to comply with the governing regulator's requirements, and may require the regulator's prior approval or a new Certificate of Authorization. Confirm with your regulator before ordering an amendment.
      How are shares different in a professional corporation?
      All shares of a professional corporation must be legally and beneficially owned by the practicing professional or other persons permitted by the governing legislation. The Articles must include transfer restrictions that prevent shares from being held by ineligible persons. Some regulators allow family members or a family holding corporation to hold non-voting shares; check your regulator's specific rules. The exact dividend, liquidation, and other rights come from the Articles.
      What does the initial share price mean?
      This is the consideration the first shareholder provides to the corporation for each share at issuance; it is not the corporation's market value or net worth. A share cannot be issued until its consideration is fully paid in money, property, or qualifying past service with the required value. Record the issuance and payment in the corporation's records.
      Can the share price or structure change later?
      The corporation can issue additional shares later with the required approvals and record updates, but all shareholders must remain eligible persons under the governing legislation. Already issued shares do not simply receive a new issue price. Changing authorized classes or their rights may require Articles of Amendment and can have legal, tax, or regulatory consequences. Any change must maintain compliance with the regulator's share ownership requirements.

      When do I need a GST/HST account?
      Most businesses must register when they make taxable supplies in Canada and no longer qualify as a small supplier, generally after exceeding the applicable $30,000 threshold. A small supplier may register voluntarily, and special rules apply to some activities. Some professional services may be exempt or zero-rated; consult your accountant. Charge GST/HST only from the account's effective date.
      When do I need a payroll account?
      Register when the corporation becomes an employer or another type of payer that must withhold and remit payroll amounts. The payroll account must be opened before the first remittance due date. This service sets up the CRA account only; it does not run payroll, calculate deductions, or make remittances.
      What does Import Account Setup cover?
      CBSA uses one RM import-export program account for businesses that import or export commercial goods. Select Import Account Setup for assistance with the import side of the RM and CARM setup. Import and Export Account Setup are separately selected and charged services, even though both relate to the same RM program account; customs declarations, duties, security, and ongoing CARM administration are separate obligations.

      When do I need WSIB registration?
      Most Ontario businesses with employees must register with WSIB within 10 calendar days after hiring the first employee, but exemptions and industry-specific rules apply. Some professions may have specific WSIB obligations or exemptions. WSIB confirms whether registration is required after reviewing the business activity.

      Do I need printed share certificates?
      Ontario shares may be certificated or uncertificated. A blank certificate is not proof of ownership until shares are validly issued, the certificate is completed, and the securities register is updated. Choose this option only if you want physical certificate forms.
      Does an Ontario professional corporation need a seal?
      No. An Ontario corporation may have a seal, but the law does not require one. Choose a physical or digital seal only for your organization's document practice or a third party's specific requirement.

      What do Phone Support and Complete Maintenance include?
      Phone Support provides general corporate-filing support for 12 months. Complete Maintenance lasts 12 months from completion of incorporation and renews for $299; it includes Phone Support, and up to three changes or updates in total across the corporate address, directors, shareholders, or officers, with registry filings completed where applicable. It also includes a logo design service with three design choices, 12 sample business cards with one business-card design, and assistance with a Google Business Profile listing. Government fees, legal or tax advice, Articles of Amendment, Certificate of Authorization applications, and work beyond the three-change allowance are excluded; Google assistance remains subject to eligibility and does not guarantee verification.
      Is the Ontario Annual Return the same as the corporate tax return?
      No. The Ontario Annual Return updates the corporation's registry information and is due each year within six months after its fiscal year-end. The CRA T2 corporation income tax return is a separate filing, also generally due within six months after the tax year ends. This add-on covers only the Ontario Annual Return unless the order expressly includes tax preparation. Your governing regulator may also require an annual Certificate of Authorization renewal, which is a separate obligation.
      What is domain name?
      We recommended to reserve a domain name in your business name. If your domain name is taken by any domain reserving company or a competitor, it could be difficult to establish your brand and continue the business without a proper website. (example: www.yourbusinessname.ca)
      What is Business Email address?
      A Business Email Address is the one that has your business name in it, and will be used for business communications that is based on your custom domain. (example: CustomName@companyname.com)

      We send you a draft of the filing information so you can check factual details before submission. Draft review does not include legal or tax advice and does not guarantee Ontario will accept the filing. If you select review, we will not submit the filing until you approve the draft.       Which shipping option should I choose?

      Is my business eligible for a Google Business Profile?
      Google generally requires the business to make in-person contact with customers during its stated hours.       The Address Service provides a business registration address where permitted by law.

      Use of the Address Service requires execution of a separate Address Service Agreement.

      Mail Scanning Service limitations:

      • Only official government correspondence will be accepted.
      • Government mail will be scanned and forwarded digitally.
      • Personal mail, packages, bank statements, and marketing materials will be refused.

      The service operates on an annual subscription basis and requires timely renewal.

      Failure to renew may result in:

      • Collection proceedings.
      • Notification to government authorities.
      • Loss of authorization to use the address.
      • Potential legal consequences.

      8.2 Agent Service

      The Agent Service satisfies statutory requirements where a local representative is required.

      A separate Agent Service Agreement must be signed before service begins.

      The designated agent may:

      • Receive official government correspondence.
      • Act solely for statutory registration purposes.

      The designated agent may not:

      • Operate the business.
      • Enter contracts.
      • Make business decisions.
      • Act beyond statutory requirements.

      8.3 Government Information and Documentation Fees

      Certain government-issued information may be available at no government cost; however, Ontario Corporate Filing Center may charge service fees for retrieving, processing, securing, and delivering such information.

      Examples include:

      • Business Numbers.
      • Ontario Company Keys.
      • Other government-issued identifiers or credentials.

      9. Purchases and Payment

      All prices are listed in Canadian Dollars (CAD).

      Accepted payment methods include:

      • Visa.
      • Mastercard.
      • American Express.
      • Discover.
      • PayPal.
      • Interac.

      Customers must provide accurate billing and payment information.

      A binding contract is formed once payment has been successfully processed.

      We reserve the right to reject any order where fraud, discrepancies, or verification concerns are identified.

      10. Service Term and Termination

      These Terms remain effective while you use our services.

      We reserve the right to suspend or terminate services without notice where permitted by law.

      • Future-dated filing fees.

      12.3 Add-On Services

      Certain add-on services may qualify for refunds if work has not started.

      • Minute Books.
      • Initial Returns.
      • Annual Returns.
      • Company Keys.
      • Domains and Email Services.
      • Google Listings.
      • Business Numbers.
      • CRA Account Registrations.
      • Share Certificates.
      • Corporate Seals.
      • Trademark Services.

      12.4 Company-Initiated Refunds

      Refunds may be issued where Ontario Corporate Filing Center is unable to complete services due to factors within its control.

      12.5 Chargebacks and Disputes

      Ontario Corporate Filing Center reserves the right to dispute chargebacks and provide supporting documentation when responding to payment disputes.

      13. Third-Party Websites and Content

      Our website may contain links to third-party websites and content.

      We do not control, endorse, or assume responsibility for third-party websites, products, services, or content.

      Use of third-party websites is at your own risk.
