Which package should I choose?
All packages include the Ontario incorporation filing, the $300 government fee, Articles of Incorporation, Certificate of Incorporation, and electronic delivery. Registration, retrieval, and delivery of your CRA Business Number, corporate tax account, and Ontario Company Key require specialized processing and are available through our higher-tier packages or add-on assistance services.
Is this a one-time payment?
Incorporation and one-time add-ons are charged once. Address service, annual support, annual filing service, and domain or website products are term-based and may require renewal. Ongoing government and tax filing obligations continue unless your order expressly includes them.
Are there any hidden or extra fees?
No hidden fees. The price shown includes the $300 Ontario government fee and everything in your selected package. Each optional add-on shows its price before you choose it, and your total updates as you go.
What's needed to complete this order?
You will need a proposed business name, or you can choose a numbered corporation, plus a registered office address in Ontario, the name and address of at least one director, a basic share and ownership setup, and a contact email. A named corporation also needs an Ontario NUANS name search report, which we can obtain for you.
Is this an official government incorporation?
Yes. We submit your incorporation through the Ontario Business Registry, and you receive the official Articles of Incorporation and Certificate of Incorporation issued for your corporation. We prepare and file your application; we do not provide legal or tax advice.
Do I need a lawyer or accountant?
Most straightforward Ontario incorporations can be completed without a lawyer or accountant, and this form guides you through each step. We provide general filing information only, not legal or tax advice, so consider professional advice for complex ownership, tax, or share structures.

What does Business Number retrieval assistance include?
Ontario incorporation automatically creates a 9-digit CRA Business Number. This optional service covers our staff retrieving and delivering the Business Number information after incorporation; the fee is for our assistance, not for CRA creating the number. Retrieval and delivery are not included in the base incorporation service unless expressly listed.
What does Corporate Tax ID retrieval assistance include?
Our team handles the administrative processing needed to secure your CRA Corporate Income Tax Account from registry records, verify your profile, and ensure your business is tax-ready immediately.
What does Ontario company key retrieval assistance include?
Your 9-digit Company Key acts as your corporate password. We take care of retrieving this key from the corporate registry, connecting it to your profile, and making sure it's ready whenever you need to update your business records.
What does Initial Return Filing and Official Email Update include?
The Initial Return is mandatory and must be filed within 60 days after incorporation. We use our monitored filing email as the corporation's initial official email during incorporation. If you purchase this service, we file the Initial Return and update the official email to the address you provide.

    What are the name rules?
    • Distinctiveness: The name must be unique and not confusingly similar to existing organizations, businesses, or registered trademarks.
    • Format: The name cannot be a numbered name (e.g., "123456 Ontario Inc."). It must be 120 characters or less in length.
    • Language: The name can be in English, French, or both (separated by a slash).
    • Restricted words: You cannot use the words "Limited" or "Ltd." in the name. You also cannot use words that imply an affiliation with the government (unless true), and terms like "College," "University," "Charity," or "Foundation" require special permission or proof of status.
    • NUANS Report: You must obtain and file a valid Ontario-biased NUANS (Newly Updated Automated Name Search) report, which expires after 90 days, to prove the name is available.
    What Is a Valid NUANS Report?

    NUANS (Newly Upgraded Automated Name Search) is a federal database utilized to verify if there are any existing business names that could potentially conflict with your intended name.

    For registering a business in a province (Ontario, Alberta, New Brunswick, PEI), only the NUANS Reservation Report specific to that province is accepted. A federal NUANS report cannot be used for provincial registration.

      Why activities are so important?
      To qualify as a charity, an organization must have purposes that are exclusively charitable and charitable activities that support those purposes. The purposes (also called objects) describe the aim or main intent of the organization. The activities describe how your organization will accomplish its purposes.
      How to describe the activities?
      When describing a charitable activity, keep the following points in mind:
      • what you want to achieve
      • how you're doing it – detailed plans
      • who the beneficiaries are and how they are selected any fees charged
      • frequency and length of the activity
      • involvement of employees and volunteers
      • how you maintain direction and control over activities and resources
      • other logistics (transportation, facilities, etc.)

      A corporation is required to have a physical registered office address in Ontario. P.O. box or virtual mail box address is not acceptable. If you do not have a physical address, we offer address and mail scanning service.

      What are the requirements for a corporation’s address?

      The address must be a physical location within Ontario. P.O. Boxes and virtual addresses are not permitted. All official correspondence and legal documents related to the corporation will be sent to this address.

      What is the difference between the 2 Address options?

      The address service alone will provide your company with a registered address that will allow for it to comply with the registration requirements. This address is not for operations; it is solely for registration purposes.

      The mail scanning to email service is for forwarding all mail digitally to you if the address receives any government-related mail for your company.

      What Is an Address Service?

      The Address Service is an annual mail-handling and document-scanning solution we offer to corporations that do not have a local physical address in Ontario. This service can be renewed yearly for a similar fee.

      Any government or corporation-related mail received on your behalf will be scanned and emailed directly to you.

      How can I change my address in the future?

      You can update your corporation’s registered address at any time by paying the applicable filing fee. Many businesses initially use a home or residential address during incorporation and update it later once they acquire a commercial or office location.

      What is the main activity?
      The main activity refers to your business’s primary line of work. Please provide one activity, described in one or two words, so we can accurately match it with the options in the government’s classification system.

      Impact of adding additional director(s)

      Each director has equal power and control over the corporation, exercised through majority vote. The directors are the "operating mind" of the company, responsible for supervising its management and affairs.

      • Decision Making: Adding trusted directors can bring diverse expertise to your board.
      • Residency: Yukon has no Canadian residency requirement for directors; they can be residents of any country.
      Can I add or remove a director later?

      Yes. At least one director must be listed at the time of incorporation. You can update the director information at any time in the future through a Notice of Change with the Ontario Business Registry.

      If you opt for our Complete Maintenance package (available in the next steps), director changes and mandatory filings can be handled by our team at no additional service cost.

      What are the requirements to be a director?

      A director is responsible for overseeing the corporation's operations and has the authority to make administrative decisions. To qualify as a director in Ontario:

      • Age: Must be 18 years or older.
      • Residency: As of 2021, Ontario has eliminated the Canadian residency requirement. Directors can be Canadian citizens, permanent residents, or non-residents/foreign citizens.
      • Status: Must be an individual (not a corporation) and must not have a status of bankrupt.
      • Capacity: Must be found capable of managing property under Ontario law.
      Why Are By-laws Required?
      Your corporation MUST have by-laws as required under the Not-for-Profit Corporations Act (NFP Act). It is the corporation's responsibility to ensure that its by-laws meet its specific needs and comply with the requirements of the NFP Act.

      What is company bylaws?
      Corporate bylaws, alternatively known as company constitution, are the rules, rights, regulations and policies set by a corporation. The corporate bylaws, usually prepared by a corporate lawyer ensuring no rules or clause conflicts the Provincial Corporations Act or Canada Business Corporations Act (CBCA). Corporate Bylaws and Minutes may also be required by certain banks to open an account
      Can I change the Articles of Incorporation?
      Once the corporation is registered, the Articles of Incorporation is also registered with government. The articles of an incorporated business could be changed with proper filing (Articles of Amendment) and fees.
      What is standard clause in the articles?
      Standard clauses are used by default in the articles of incorporation for a wide range of standard businesses and everyday operations.
      Do I need custom articles?
      The requirement to customize articles varies so that we cannot suggest how to customize. As a simple guidance, organizations customize articles to accommodate special requirements like multi-tier member classes, specific duration of directors in the position, clauses on limited by guarantee, etc. In general, if you don't have a reason then no customization is required.

      What is a Business Number (BN)?
      A registered company must obtain a Business Number to access its account with the Canada Revenue Agency. The Business Number, or BN number, is a nine-digit code that uniquely identifies your business with the CRA.
      What is a Corporate Tax ID?
      Companies are required to report all their income and expenses to the CRA. The Corporate Tax ID, known as RC0001, serves as the identifier for this reporting. Each corporation must acquire a Corporate Tax ID from the CRA.
      What is an Initial Return?
      Submitting your Initial Return is a required action following the incorporation of your business in Ontario. It formally informs the government about your corporation's directors, registered office, names and titles of officers, and the official email address.

      What is an officer's role?
      The corporation's officers (President, CEO, VP, Secretary etc.) manage the business's daily operations, and in their different roles they are given legal authority to act on the corporation's behalf in almost all lawful business-related activities.
      Can one individual be in multiple roles?
      Most corporations, in the beginning, assign a single individual in multiple roles (director, incorporator, officer and shareholder). With the growth of the company, these roles can be re-distributed among other individuals.
      What are the usual positions/designations?
      Normally, the designations 'President' or 'CEO' is assigned to the primary director or the most important individual of the corporation. The next roles are VP, treasurer, secretary, administrative assistant etc.

      Who needs a GST/HST account?
      If you sell products and services in Canada and collect GST/HST from your Customers, then GST/HST Account Number is Required. Customer's invoice or receipt must show the HST number. Unable to collect HST may cause penalty by CRA.
      Who needs a payroll account?

      If you hire employees, including yourself, you need a Payroll Account Number. If you do not have an employee, your own salary or a family member's salary can be processed through the payroll account to take advantage of CRA 'income splitting'.

      Note for 2026: Under current TOSI (Tax on Split Income) rules, family members must generally be "actively engaged" in the business (working an average of 20+ hours per week) to qualify for certain income-splitting benefits. This service covers the initial setup of the account with the CRA, not ongoing payroll processing.
      What is import account?

      If your business involves importing physical goods for commercial use, an Import Account (RM) is required. This account identifies your business to the Canada Border Services Agency (CBSA) for customs clearance.

      As of 2026, all importers must also register through the CARM Client Portal (CBSA Assessment and Revenue Management) to manage duties and taxes.

      What is export account?

      If your business involves exporting physical goods to other countries, an Export Account (RM) is required. The government uses this account to process customs declarations and track the movement of goods out of Canada.

      Do I need WSIB registration?

      Registering with the Workplace Safety and Insurance Board (WSIB) is required for most businesses in Ontario within 10 days of hiring their first worker (including family members and some subcontractors).

      • Mandatory Industries: Construction, manufacturing, trucking, and most service/retail businesses.
      • Exempted Industries: Some types of businesses are exempt (e.g., banks, insurance companies, private schools, and travel agencies).
      • Why Register? WSIB provides financial security and "no-fault" insurance, protecting you from potential lawsuits if a workplace injury occurs. Many exempt employers choose to register voluntarily for this protection.

      What is share certificate?
      Share certificates are legal and official proof of ownership of a corporation. Bank may ask to show it to open a bank account. Most people choose 5 share certificates to save costs; some choose 10 or 20. It includes blank certificates in case you want to add spouse, child or friend as shareholder in future.
      Do I need a corporate seal?
      The company seal, is a tool used to stamp or emboss your company's important documents in order to show the document is certified by, and agreed upon by, the Board of Directors of the company. Commonly used for:

      Availability of services and products may change without notice.

      Prices may be modified at any time.

      8.1 Address Service

      The Address Service provides a business registration address where permitted by law.

      Use of the Address Service requires execution of a separate Address Service Agreement.

      Mail Scanning Service limitations:

      • Only official government correspondence will be accepted.
      • Government mail will be scanned and forwarded digitally.
      • Personal mail, packages, bank statements, and marketing materials will be refused.

      The service operates on an annual subscription basis and requires timely renewal.

      Failure to renew may result in:

      • Collection proceedings.
      • Notification to government authorities.
      • Loss of authorization to use the address.
      • Potential legal consequences.

      8.2 Agent Service

      The Agent Service satisfies statutory requirements where a local representative is required.

      A separate Agent Service Agreement must be signed before service begins.

      The designated agent may:

      • Receive official government correspondence.
      • Act solely for statutory registration purposes.

      The designated agent may not:

      • Operate the business.
      • Enter contracts.
      • Make business decisions.
      • Act beyond statutory requirements.

      8.3 Government Information and Documentation Fees

      Certain government-issued information may be available at no government cost; however, Ontario Corporate Filing Center may charge service fees for retrieving, processing, securing, and delivering such information.

      Examples include:

      • Business Numbers.
      • Ontario Company Keys.
      • Other government-issued identifiers or credentials.

      9. Purchases and Payment

      All prices are listed in Canadian Dollars (CAD).

      Accepted payment methods include:

      • Visa.
      • Mastercard.
      • American Express.
      • Discover.
      • PayPal.
      • Interac.

      Customers must provide accurate billing and payment information.

      A binding contract is formed once payment has been successfully processed.

      We reserve the right to reject any order where fraud, discrepancies, or verification concerns are identified.

      10. Service Term and Termination

      These Terms remain effective while you use our services.

      We reserve the right to suspend or terminate services without notice where permitted by law.

      Termination may occur if:

      • You violate these Terms and Conditions.
      • Identity verification cannot be completed.
      • Suspicious activity is detected.
      • Required documentation is not provided.

      11. Service Limitation and Expiration

      11.1 Abandoned Orders

      If additional information is required to complete an order, customers must respond within prescribed timelines.

      Orders may be deemed abandoned after prolonged non-response.

      No refunds will be provided for abandoned orders.

      12. Refund Policy

      Refund eligibility depends on the work completed at the time of cancellation.

      12.1 Non-Refundable Fees

      12.5 Chargebacks and Disputes

      Ontario Corporate Filing Center reserves the right to dispute chargebacks and provide supporting documentation when responding to payment disputes.

      13. Third-Party Websites and Content

      Our website may contain links to third-party websites and content.

      We do not control, endorse, or assume responsibility for third-party websites, products, services, or content.
