  • What is deadline?
    Initial return is due to be filed within the first 60 days of incorporation as per Corporation Act. If you have not filed within the deadline, Government may allow us to file for it which causes higher costs and fees.
  • Why initial return is mandatory?
    Every new Ontario corporation must file an initial return within 60 days of incorporation. Failure to do it may result in the corporation to be cancelled automatically.
  • Is it same as Annual Return?
    No, Initial Return is different than Annual Return:
    Initial Return: Corporations must complete and submit an Initial Return to the Government within 60 days after the date of incorporation. Failure to file Initial Return causes the dismiss of the corporation.
    Annual Return: Every Corporation must file a yearly Annual Returns within two months of its anniversary date of incorporation.

  • What is an officer's role?
    The corporation's officers (President, CEO, VP, Secretary etc.) manage the business's daily operations, and in their different roles they are given legal authority to act on the corporation's behalf in almost all lawful business-related activities.
  • Can one individual be in multiple roles?
    Most corporations, in the beginning, assign a single individual in multiple roles (director, incorporator, officer and shareholder). With the growth of the company, these roles can be re-distributed among other individuals.
  • What are the usual positions/designations?
    Normally, the designations 'President' or 'CEO' is assigned to the primary director or the most important individual of the corporation. The next roles are VP, treasurer, secretary, administrative assistant etc.

  • The more changes you do in the corporation, the more cost will incur. We have lawyers, accountants and registry agents who will work together to complete the required tasks for these changes. These changes may require government fees which are included in the price.

  • What is legal name change?
    A legal name change can occur because of weeding or name correction. Please note, for a legal name change, a consent letter is required, which will be prepared by us and to be sent to you by email for signature.
  • Why there is cost?
    Government allows to do certain update on the corporation along with annual returns filing. Many of these updates involve with additional government fees and legal work such as preparation of director's resolution or shareholder's resolution etc.
  • Corporation's address change?
    If you corporation's registered address or mailing address has changed, you may update it together with annual returns.
  • Other changes on director?
    It can be adding or removing a director or a residency status or address change.
  • Other updates on shareholder?
    It can be adding or removing a shareholder or a shareholder's address change.
  • Redistribution of shares?
    To re-distribute the outstanding shares among the shareholders, a Shareholder Agreement will be prepared by our lawyer and will be provided to you for signature of all shareholders. The price includes the legal fees.

    When a corporation's director's name gets changed (because of marriage or divorce or legal name change etc.), a name change request letter is required. We will prepare the letter and send it to your email. Please sign it and send the scan copy or picture copy in our email.

    No. You need to add here only the additional director(s) you are adding. We will add the additional director along with existing director(s). We will also review your order, after we have received it.
  • How many director(s) I can add?

  • How to put share in percentage?
    Total share is calculated by adding up each shareholder's share number. Example: your share is 60, your spouse's share is 40. Then total shares = 60 + 40 = 100. In this case, you hold 60% and spouse holds 40%. If more than one shareholder and you want to assign in percentage, make total share number as 100.
